1. Agreement
These terms are between you and Banshi Softwares Pvt. Ltd. (“Banshi Software”, “we”), 47 Aaditya Nagar, Dali Bai Circle, Jodhpur 342008, Rajasthan, India. By using hrms.banshisoftware.com, requesting a demo, subscribing to updates, or accessing HRMS or a related Banshi product, you agree to these terms and to the Privacy Policy.
If you use the platform for a company, you confirm that you are allowed to bind that company. The company is then the customer under these terms.
2. The services
Banshi HRMS is a workforce platform. Depending on what is enabled for an account, it includes:
- Attendance with GPS check-in, geofence boundaries, live field tracking, biometric and facial logs, IP checks, and offline sync.
- Shift and break management, leave requests and approvals, and the shift roster planner.
- Payroll calculation, salary batches, deductions, loans and advances, reimbursements, and the cashbook ledger.
- Statutory tracking for PF, ESI, TDS, LWF, Professional Tax, gratuity, and bonus, including the compliance calendar, POSH records the company maintains, and salary-compliance views.
- Staff profiles, documents, asset allocation, support tickets, reports, and compliance or blacklist checks.
- On-site task assignment with progress tracking, productivity reports, and GPS or photo verification.
Related products that can sit on the same workforce record are:
- Secure Work Chats — direct messages, department channels, file sharing, geotagged media, and admin broadcasts tied to employee profiles.
- Project Management System — Kanban boards, sprint and assignee tracking, Gantt schedules, location-locked field tickets, and timesheets that can feed payroll.
- Agentic AI Assistant — assistance that reviews biometric and payroll records, drafts policy text, answers employee compliance questions, and suggests shift changes.
Modules marked “Coming soon” on the website are not part of the live product until we enable them for your account. A demo, screenshot, or roadmap slide is not a promise that a module is available today.
3. Customer responsibilities
- Keep account credentials inside the company and remove access when someone leaves.
- Enter accurate employee, attendance, salary, tax, and bank details. Payroll and compliance outputs follow the data and rules in the account.
- Tell employees about GPS, geofence, biometric, photo, chat, and task monitoring, and collect any consent required before those features are used.
- Use blacklist checks, documents, and reports only for lawful employment purposes.
- Decide which chat, project, and AI features are appropriate for your workforce and configure roles accordingly.
4. Payroll and statutory compliance
HRMS calculates and organises payroll and statutory items such as PF, ESI, TDS, LWF, and Professional Tax from the rates, formulas, and employee data in the account. It also surfaces compliance tasks and pending filings. These tools help a company run payroll. They are not legal, tax, or labour-law advice, and they do not file returns with a government portal unless a separate written scope says we will.
The customer remains responsible for checking salary registers, deduction amounts, challans, and filings, and for confirming that roster rules match the labour laws that apply to its locations. Banshi Software is not liable for penalties that result from incorrect inputs, outdated rates the customer did not update, or a filing the customer did not complete.
5. Location, biometrics, chat, and AI
Geofencing, live location, biometric attendance, and photo-stamped tasks are verification features. The customer must use them in line with applicable employment and privacy law. Chat content and files belong to the customer’s workspace. The customer is responsible for what its users send.
The Agentic AI Assistant can be wrong. Payroll flags, policy drafts, compliance answers, and shift suggestions are aids for review. A manager or HR user must check them before they are treated as a pay change, a company policy, or a legal position.
6. Acceptable use
You may not:
- Use the products to break the law, harass anyone, or store data you are not allowed to hold.
- Spoof attendance, probe another company’s account, or attempt to bypass geofence, role, or login controls.
- Upload malware, overload the service, or scrape the platform except through features we provide.
- Resell HRMS, chat, project boards, or the AI assistant unless we agree in writing.
7. Demos, newsletter, and the website
A demo request asks us to contact you about HRMS. It does not create a paid subscription. The newsletter sends product and payroll-compliance updates to the address you submit, and you can unsubscribe at any time. Website content, including metrics and testimonials, describes the product and may be updated as modules change.
8. Fees
Paid use of HRMS and any related product is covered by the order, proposal, or subscription we confirm with the customer. Fees, employee limits, and included modules are those stated in that agreement. If no paid plan is in place, access is limited to what we expressly open, such as a demo.
9. Intellectual property
Banshi Software owns the HRMS software, website, branding, and related product interfaces. The customer owns the workforce, payroll, chat, and project data it submits. We receive a limited right to host and process that data only to provide, secure, and support the services.
10. Availability and changes
We work to keep HRMS available and to protect payroll and attendance records, but the service can be interrupted for maintenance, hosting issues, or events outside our control. We may add, change, or retire a module, including a coming-soon feature, and we will avoid removing a paid feature you rely on without notice when that is practical.
11. Suspension
We may suspend access if fees are overdue, if use breaks these terms, or if we need to protect the platform or another customer. Where we can do so without increasing the risk, we will tell the account administrator and give a chance to fix the issue.
12. Liability
To the extent the law allows, Banshi Software is not liable for indirect or consequential loss, including lost profits, missed statutory deadlines, or employment disputes arising from how a customer uses attendance, payroll, chat, projects, or AI output. Our total liability arising out of the services in a contract year is limited to the fees the customer paid us for those services in the three months before the claim, or INR 10,000 if no fees were paid.
Nothing in these terms limits liability that cannot legally be limited, including liability for fraud or for death or personal injury caused by negligence.
13. Law and disputes
These terms are governed by the laws of India. Courts at Jodhpur, Rajasthan have exclusive jurisdiction, except where a consumer-protection rule requires otherwise.
